Senior Corporate Legal Counsel

A leading global organisation is seeking a highly experienced Corporate Legal Counsel to join their Thailand operations, based in Bangkok - Pathumthani.

What you'll do:

* Serve as the primary legal advisor for Thailand legal entities on all aspects of corporate governance including board meetings, shareholder meetings, director resolutions, corporate filings, and statutory records.

* Coordinate compliance with Thai corporate laws and regulatory requirements by managing external counsel relationships and liaising with regulators and governmental authorities.

* Support implementation of global compliance and ethics programmes locally by advising management on anti-corruption, anti-bribery, competition law, trade compliance, data privacy, and corporate ethics matters.

* Conduct legal compliance assessments and assist with internal investigations as needed while delivering training to employees and management on relevant legal topics.

* Provide expert advice on employment, labour, and industrial relations matters under Thai law by supporting Human Resources with employee relations issues such as disciplinary actions, grievances, performance management, restructurings, workforce reductions, terminations, benefits, compensation matters, and workforce compliance obligations.

* Draft, review, negotiate, and advise on a broad range of commercial agreements including supply agreements, service agreements, non-disclosure agreements, distribution agreements, logistics agreements, technology licensing agreements, consulting agreements, professional services agreements, real estate agreements and facility-related contracts.

* Offer practical legal advice on contractual risk allocation during commercial negotiations while supporting contract management processes to promote adoption of best practices.

* Identify legal risks affecting business operations or strategic initiatives in Thailand by developing mitigation strategies in partnership with regional and global legal teams.

* Manage disputes, claims, regulatory inquiries or litigation matters with support from external counsel where appropriate.

* Support mergers, acquisitions, divestitures or other strategic projects impacting Thailand operations by ensuring alignment with company policies and legal standards.

What you bring:

* Bachelor of Laws (LL.B.) degree is required for this position ensuring foundational knowledge of Thai law.

* Licensed Thai lawyer status with membership in good standing of the Lawyers Council of Thailand is preferred demonstrating professional credibility.

* A Master’s degree in law or related discipline is considered advantageous for candidates seeking further specialisation.

* At least nine years of relevant legal experience ideally gained within multinational corporations manufacturing companies technology firms or publicly listed organisations.

* Comprehensive understanding of Thai corporate commercial employment regulatory laws is essential for effective advisory work.

* Proven experience managing external counsel cross-functional stakeholders demonstrates your collaborative approach to problem-solving.

* Strong commercial judgment coupled with business acumen enables you to deliver practical solutions-oriented advice tailored to organisational needs.

* Excellent contract drafting negotiation skills ensure successful outcomes during complex commercial transactions.

* Outstanding interpersonal stakeholder management capabilities facilitate positive relationships across diverse teams departments regions.

* Fluency in both written spoken English and Thai ensures clear communication across local international stakeholders.
