Legal Manager - M&A

The exciting Legal Manager (x1 vacancy) role is just open at one of the largest vertically integrated polyester chain producers in the world and a leading global manufacturer of wool yarns. The headquarter is in Bangkok, Thailand and established in 6 countries in three major regions of the world – Asia Pacific, North America, and Europe. The corporate structure comprises of four business segments, PET, Polyester, PTA and Wool.

About the Legal Manager Role:

In this role, you will be a key person for M&A legal matters and responsible for investment projects of company and affiliates. You will enjoy competitive base salary with variable bonus and annual leave for this role.

Key Responsibilities:

• Monitor all legal-related matters concerning M&A transaction including in relation to business strategy, performance and risk management
• Lead M&A team to provide due diligence report, drafting and review of transaction agreements including heads of terms, confidentiality agreements, shareholder agreement, joint venture agreement and related documents
• Working on a wide variety of complex private and public M&A transactions, with responsibility for progressing key legal workstreams
• Lead in liaising with key stakeholders such as planning division, secretary office, treasury, HR and accounting as well as external stakeholders such as external counsel, accountants, corporate financiers, investment banking and corporate banking
• Working as part of a team including assisting with the supervision of couple of Thai resources and taking an active part in sharing knowledge and experience with the team

To succeed in this role, you must have good command of English.

Key Requirements:

• Bachelor’s Degree of Law / Master’s Degree of Law (preferred)
• Five to seven years lawyer experience in mergers and acquisitions laws
• Fluent in English both verbal and written
• Good relationship-building skills and able to coordinate works
• Good interpersonal skills and the ability to work well with others
• Analytical and problem-solving skills, particularly ability to think spontaneously
