Legal Counsel & Compliance Officer

What you’ll do:

The Legal Counsel will play a pivotal role in ensuring legal compliance, mitigating risks, and providing strategic legal advice to support the company's mining operations in Thailand. This role requires a strong command of English and Thai, as the incumbent will report directly to the Group General Counsel based in the parent entity in Australia, with a dotted line to Lead General Manager in Thailand. The successful candidate will be responsible for managing a wide range of legal issues, including regulatory compliance, contract negotiation, dispute resolution, and other legal aspects of the mining business.

  • Provide legal advice and support to internal stakeholders on matters related to mining operations, regulatory compliance, environmental regulations, and land use.
  • Manage external law firms in Thailand, provide regular and prompt updates to the Group General Counsel, on key matter progress and legal analysis, facilitating efficient communication and collaboration on legal matters.
  • Manage local external legal requests, including coordination with auditors and other relevant parties, to address regulatory and compliance requirements.
  • Liaise with regulatory affairs team and provide legal review correspondence with regulators and authorities.
  • Oversee and implement Compliance and Data Privacy programs and activities to ensure relevant laws, policies and procedures are followed, as well as provide relevant advice.
  • Ensure the organization’s compliance with all applicable laws, including Thai and Australian compliance laws and regulations
  • Develop, promote, implement and continuously update corporate compliance program in light of all applicable legal requirements
  • Create, implement, monitor, review and update policies, procedures, manuals, guidelines, and tools related to Compliance and Data Privacy
  • Assess risks and formulate risk management guidelines in compliance with relevant laws and regulations
  • Formulate, manage and monitor Compliance-related systems and processes, including due diligence of third parties and pre-approvals of sensitive transactions 
  • collaborate with cross functional teams to ensure the company’s adherence to its corporate governance policies ranging from Anti-Bribery and Anti- Corruption Policy, Conflict of Interest Policy and Whistleblowing Policy
  • Follow up on laws and regulations to ensure compliance; stay current on operations initiatives, compliance/regulatory concerns, and other changes in the industry
  • Collaborate with existing L&C member to promote a culture of compliance and governance; develop and roll out Corporate Governance and any regulatory Compliance awareness campaigns and trainings, e.g., designing e-learning, preparing materials and conducting trainings
  • Draft, review, and negotiate a variety of contracts and agreements, such as supply contracts, and leases.
  • Monitor changes in local laws and regulations affecting the mining industry in Thailand, and ensure the company's compliance with applicable legal requirements; prepare input for the Legal report to the Group General Counsel and the Board of the parent listing entity.
  • Conduct legal research to stay informed about evolving legal trends and industry best practices.
  • Assist in the development and implementation of legal policies, procedures, and training programs for company employees.
  • Maintain accurate and organized legal documentation and records.

What you bring:

To be success in the Legal Counsel role, the ability to advise and guide internal business partners and collaborating personnel as well as work effectively with the business units, is of utmost necessity.

  • Bachelor's degree in Law; Master's degree or additional qualifications preferred.
  • Admitted to practice law in Thailand.
  • A minimum of 10 years of post qualification legal experience, in relevant practice areas including in real estate, litigation, mining, regulatory licensing, governmental liaison, preferably with mix of private practice and in-house experience from multinational companies.
  • Strong command of English and Thai, with excellent written and verbal communication skills; ability to effectively communicate complex legal matters to non-legal stakeholders.
  • Experience in contract negotiation, drafting, and review.
  • Experience in regulatory compliance and corporate governance.
  • Familiarity with international business transactions and cross-border legal issues.
  • Proven ability to work independently, make informed decisions, and handle multiple priorities in a dynamic environment.
  • Strong analytical, organization and communication, skills.
  • High level of integrity and ethical standards.
  • Exceptional interpersonal skills and the ability to collaborate effectively with colleagues at all levels of the organization.
