What you'll do:

As Chief Governance Officer, you will play an integral role in steering the organisation’s approach to governance by overseeing all aspects of regulatory compliance, risk management, legal advisory, and stakeholder engagement. Your day-to-day activities will involve close interaction with regulators to ensure ongoing adherence to evolving requirements while also guiding internal teams through complex compliance landscapes. You will be responsible for developing robust frameworks that not only protect the company’s interests but also foster a culture rooted in ethical behaviour. By building strong relationships with key stakeholders - including executive committees and board members - you will ensure transparency around risk matters while driving continuous improvement across all governance functions. Success in this role requires you to balance strategic oversight with hands-on leadership of your team so that every facet of the business operates within a secure, compliant environment.

  • Lead all aspects of regulatory compliance by ensuring strict adherence to requirements set by authorities such as the Securities and Exchange Commission (SEC) and Stock Exchange of Thailand (SET), serving as the main liaison for all regulatory matters.
  • Oversee enterprise-wide risk management activities including investment, operational, IT, and audit risks, ensuring these align with the Group Risk Framework and maintain effective second-line controls.
  • Establish, implement, and continuously enhance comprehensive compliance frameworks that meet both group-wide standards and external regulations, including Anti-Money Laundering (AML) and Anti-Bribery & Corruption (ABC) policies.
  • Provide expert legal strategy guidance on corporate, regulatory, and commercial matters while managing corporate secretarial responsibilities to support sound decision-making processes.
  • Drive best-in-class corporate governance practices across the organisation by cultivating a strong compliance culture focused on integrity and regulatory adherence at every level.
  • Lead transparent reporting and engagement with senior stakeholders such as executive committees, regional offices, board members, and regulators to ensure clarity on compliance and risk issues.
  • Build, lead, and develop a high-performing governance team by fostering collaboration, supporting professional growth, and delivering outcomes aligned with strategic objectives.
  • Actively monitor changes in relevant laws or regulations to proactively update internal policies and procedures as needed for continued compliance.

  • Bachelor’s degree or higher in Law, Risk Management, Finance, Accounting, Business Administration or related discipline is required for this senior position.
  • A minimum of 10–15 years’ experience across Compliance, Risk Management or Legal within financial services is essential; asset management experience most preferred. Atleast 5 years must have been spent in a senior leadership capacity.
  • Demonstrated expertise in regulatory compliance with proven ability to manage relationships with key regulators such as SEC and SET is crucial for success.
  • Comprehensive understanding of regulatory frameworks governing capital markets or asset management sectors is necessary for effective performance.
  • Professional certifications such as CFA or FRM are considered advantageous but not mandatory for this opportunity.
  • Exceptional leadership skills demonstrated through previous experience building high-performing teams within complex organisations are highly valued.
  • Outstanding stakeholder management abilities combined with excellent communication skills - both written and spoken - are vital for engaging effectively at all levels.
